By accessing, viewing, downloading, or otherwise using content, media, or any other products or services, including the underlying proprietary code and technology, owned or operated by Pirch, LLC, ("Company" or "Pirch"), its subsidiaries, related corporate entities, and authorized partners, through its website, email products or services, or mobile applications (collectively, the "Pirch Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms") described below and that your use of the Pirch Services is at all times subject to these Terms. These terms are a legal contract between the user ("User" or "You") and Pirch and govern Your use of all the text, data, educational materials, information, software, graphics, photographs and other materials ("Materials") that Pirch and our affiliates may make available to you through this website and/or any Pirch Services we may provide through our website or our mobile applications, or any other website, app or online service which links to these Terms. If you do not agree to these Terms, please do not register with or use the Pirch Services.

READ THESE TERMS CAREFULLY BEFORE BROWSING THE WEBSITE OR USING ANY OF THE PIRCH SERVICES OR MOBILE APPLICATIONS. USING THE PIRCH SERVICES IN ANY WAY INDICATES THAT YOU HAVE BOTH READ AND ACCEPT THESE TERMS. YOU CANNOT USE THIS WEBSITE OR ANY OTHER PART OF THE PIRCH SERVICES IF YOU DO NOT ACCEPT THESE TERMS.

This Agreement governs the use of the relationship between Company and You generally; however, these Terms are subject to change and more specific/general terms and conditions may apply to specific products. Pirch reserves the right to make any amendments or updates to these Terms and upon such amendment or change the new Terms shall be effective immediately. It is Your responsibility to review these Terms to confirm You are aware of any changes.

1. Overview

1.1 Pirch is an AI-powered curriculum-building platform for homeschool families.

1.2 Designed exclusively for parents or guardians, not for independent use by children. Pirch does not sell the Service to children, but only to adults who can purchase the Pirch Services with a credit card or other permitted payment method. If You are under thirteen (13) years of age, You may use the Pirch Services only with the involvement and consent of a parent, legal guardian.

(a) If Pirch receives actual notice that You are under the age of 13 or lack parental approval to utilize the Pirch Services, we will terminate your access to Pirch Services, deactivate your account, and delete Your data.

1.3 Users can generate, save, schedule, and edit custom educational Content (defined in Section 4 below) tailored to their child's needs.

1.4 All Content is designed to be self-directed by the home educator.

1.5 You agree to use the Pirch Services only for purposes that are permitted by these Terms and any applicable law, regulation, or generally accepted practices in the relevant jurisdictions. Subject to all of the provisions of these Terms.

2. User Access & Accounts

2.1 Account creation is required using email or Google login. The Pirch Services require payment and as such You must provide complete and accurate billing information upon creation of Your account, including a valid payment method. The fees payable by You for the Pirch Services (the "Fees") are based on the prices set forth and explained on the Website. You agree to pay all Fees and charges associated with your account on a timely basis. Such Fees (including any taxes, late fees, as applicable) will be charged to the credit card on file with Your account. You agree to maintain valid credit card information in Your account. For greater certainty, by providing Pirch with the credit card information you authorize Pirch and/or its billing servicer to bill and charge your credit card for the Pirch Service, until termination of Your agreement in accordance with these Terms.

Pirch will automatically charge the Fees plus any applicable tax or service charges to the payment method on file routinely on the agreed-upon periodic renewal. If payment cannot be completed or is denied, Pirch has the authority to downgrade your account or suspend your access to our Services until payment is received.

While Pirch may offer promotions, including free trial periods, a credit card is still required at the time of account creation upon completion of the trial period, the credit card on file will be charged unless You terminate your account and cancel the subscription.

Pirch reserves the right to update or amend the pricing of the Pirch Services. Should any pricing changes be made, You will be notified and the change will then be implemented on the following billing cycle.

2.2 Cancellation or Termination of Account. You can cancel your paid subscription at any time by ----. Payments are non-refundable, except where required by law. These Terms do not override any mandatory local laws regarding your cancellation rights. Termination and suspension.

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:

• You breached these Terms or violated our Privacy Policy.
• We must do so to comply with the law.
• Your use of the Pirch Services could cause risk or harm to Pirch, our users, or anyone else.
• You are also able to cancel your account at any time by using the cancellation link located in your account dashboard;

We also may terminate your account if it has been inactive for over a year and you do not have a paid account. If we do, we will provide you with advance notice.

If you believe we have suspended or terminated your account in error, you can file an appeal with us by contacting suport@pirch.ai.

2.3 Each family may create one account per household, which can include multiple child profiles. Household is defined as the mailing address utilized in the creation of the account.

2.4 Child profile data (grade, interests, learning style, schedule) is collected only to personalize content within the platform—never used externally or for third-party purposes. For more information on the type of data utilized and the storage and retention policy, please see our Privacy Policy.

2.5 Accounts are not to be shared outside of the immediate household and You expressly agree that You will not share your account or account information with others outside of Your Household.

2.6 While children may be present during use, the system is designed for use by a parent or guardian. If You're a parent or legal guardian, and You allow Your child to use Pirch Services, then these terms apply to You and You're responsible for Your child's activity while utilizing the Pirch Services.

3. Use of Pirch Services

3.1 Pirch Services may allow you to download software, such as mobile applications, which may update automatically to ensure you're using the latest version.

3.2 You agree that you will not engage in any activity or conduct that interferes with or disrupts the Pirch Services (or the servers and networks which are connected to the Pirch Services) or use any service to manipulate your computer, mobile phone, or other device to manipulate the Pirch Services. You agree that you will not reproduce, duplicate, copy, sell, trade, or resell any Material or Content for any purpose. You further agree that your use of the Pirch Services shall not be fraudulent, deceptive, or unlawful, as determined in our sole and absolute discretion. You shall also comply with all usage rules and guidelines found throughout the Pirch Services. You agree to comply with the instructions set out in any Pirch Services. Without limiting the generality of the foregoing, you agree not to use the Pirch Services in any improper manner, including to:

• share a single Account with anyone outside of Your Household;
• maintain or use any false identity or multiple identities, or otherwise fail to participate in our Services using your real identity and accurate contact, demographic and other information, including via the use of any technology (such as VPNs, proxies, single-use mobile phone numbers, or fake identity documents) to conceal your real identity or location, or otherwise circumvent controls intended to prohibit illegal or prohibited access;
• submit any personal information (name, email, zip code, etc.), payment information (credit card number and expiration date, etc.), or other information which we determine to have been false, inaccurate, or otherwise invalid in connection with the Pirch Services;
• violate the contractual, personal, intellectual property or other rights of any party, including using, uploading, transmitting, distributing, or otherwise making available any information made available through the Pirch Services and in any manner that infringes any trademark, copyright, patent, trade secret, or other right of any party (including rights of privacy or publicity);

4. Content Ownership & Licensing

4.1 Company owns and retains any and all intellectual property rights to all work created or generated utilizing the Pirch Services, including but not limited to the Content (defined below). You may provide input or prompts into the Pirch Services and receive output from the Pirch Services based on such Input ("Content"). You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed regarding any information You input to Pirch Services to create Content.

4.2 Due to the nature of Pirch Services and artificial intelligence generally, Content may not be unique and other users may receive similar output from our Pirch Services.

4.3 The Content created and generated using the Pirch Services should not be considered any form of advice or authority.

4.4 The Content is provided on an as-is basis and Pirch makes no representations or warranties of any kind.

4.5 Pirch hereby grants you a limited, terminable, non-transferable, personal, non-exclusive license to access and use the Pirch Services solely as provided within these Terms.

You may download material displayed or created utilizing the Pirch Services for non-commercial, personal use only, provided you do not remove any copyright and other proprietary notices contained on the materials.

You may not, however, distribute, modify, broadcast, publicly perform, transmit, reuse, re-post, or use the content of the Pirch Services including any text, images, audio, or video, for public or commercial purposes without the Company's prior written permission.

Notwithstanding anything to the contrary herein, all rights not specifically granted in the license set forth above shall be reserved and remain always with the Company. Your right to use the Pirch Services is not transferable. You acquire no rights or licenses in or to the Pirch Services and any and all materials contained therein other than the limited right to access and utilize the Pirch Services in accordance with these Terms. If you are accessing the Pirch Services via any of our applications available via third parties including, without limitation, Apple, Inc.'s "App Store" or Google, Inc.'s "Google Play" store, you acknowledge and agree that these Terms are entered into by and between You and the Company only, and that none of the foregoing third parties are party to these Terms, and they are not sponsors of, nor in any way affiliated with, the Pirch or any of the Pirch Services.

For purposes of clarity, aside from the foregoing licenses, You acknowledge that You shall acquire no other rights or licenses in Pirch Services or Materials unless specifically and expressly granted by Pirch in writing. As between You and Pirch, all the intellectual property rights in the Pirch Services and Materials are owned by Pirch or its licensors.

4.6 Uses Requiring Additional License. For any other copying, publishing, distribution, or modification of Pirch Services or Materials that are not set forth above, please complete the License Request Form, and we will review your request and respond as soon as practicable. If we accept your request, we will send you a license (the "Additional License") regarding your contemplated use.

5. Miscellaneous Terms

5.1 The Pirch Services may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by Pirch, and we are not responsible for any Third-Party Websites accessed through the use of the Pirch Services or any Third-Party Content posted on, available through, or installed from the Pirch Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If You decide to leave the Pirch Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from Pirch Services or relating to any applications you use or install from the Pirch Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that Pirch does not endorse the products or services offered on Third-Party Websites and you shall hold Pirch harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold Pirch harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

5.2 Opt out. If you do not want us to use your Content to train our models, you can opt out by emailing suport@pirch.ai. Please note that in some cases this may limit the ability of our Services to better address your specific use case.

5.3 Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts.

When you use Pirch Services you understand and agree that:

• Content outputted may not always be accurate. You should not rely on Content from the Pirch Services as a sole source of truth or factual information, or as a substitute for professional advice.
• You must evaluate the Content for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing Content from the Pirch Services.
• Pirch Services may provide incomplete, incorrect, or offensive Content that does not represent Pirch.
• If Content references any third-party products or services, it does not mean the third party endorses or is affiliated in any way with Pirch.

5.4 If you believe that your intellectual property rights have been infringed, please send notice to the address below. We may delete or disable content that we believe violates these Terms or is alleged to be infringing and will terminate accounts of repeat infringers where appropriate.

Written claims concerning copyright infringement must include the following information:

• A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest
• A description of the copyrighted work that you claim has been infringed upon
• A description of where the allegedly infringing material is located on our site so we can find it
• Your address, telephone number, and e-mail address
• A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner's behalf

5.5 These Terms will be governed by and construed in accordance with the laws of the State of Florida and the federal laws of the United States of America applicable therein, without giving effect to any choice or conflict of law provision, principle or rule and notwithstanding your domicile, residence or physical location.

5.6 Any action or proceeding arising out of or relating to these Terms will be instituted in the courts of the State of Florida within St. Lucie County, and/or the applicable Federal Court of the United States, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such

7. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pirch, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your use of the Website (including your access to the Sessions).
